These Website Terms of Use (the “Terms”) govern access to and use of https://zfrnexus.com and any pages, content, features, and materials made available through it (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. About ZFRNexus and the Site
1.1 Operator. The Site is operated by ZFRNexus LLC, a New York limited liability company (“ZFRNexus,” “we,” “us,” or “our”). You may contact us at hello@zfrnexus.com.
1.2 Informational Site. The Site presents information about ZFRNexus, its services, perspectives, methodologies, publications, speaking activities, and areas of professional experience. The Site is not an online service platform, patient portal, clinical service, regulated product, or marketplace.
2. No Professional Relationship or Confidential Submission
2.1 No Engagement. Your access to the Site, review of Site content, or submission of a contact inquiry does not create a consultant-client, advisor-client, fiduciary, healthcare-provider, legal, employment, partnership, agency, or other professional relationship with ZFRNexus. A consulting relationship arises only through a written agreement executed by authorized representatives of ZFRNexus and the applicable client.

2.3 Contact Responses. Any response to an inquiry is preliminary and does not constitute acceptance of an engagement, an undertaking to meet a deadline, or advice on which the recipient may rely.
3. Scientific, Educational, and Professional Information
3.1 General Information Only. Site content is provided for general scientific, educational, informational, and business-discussion purposes. All rights not expressly granted are reserved.
4.2 Limited Permission. ZFRNexus grants you a limited, revocable, non-exclusive, non-transferable permission to access and use the Site for your own lawful informational and internal business purposes. You may print or save a reasonable number of pages for those purposes, provided that you retain all notices and do not modify the materials.
4.3 Restrictions. Without prior written permission, you may not reproduce, republish, distribute, sell, license, create derivative works from, publicly display, frame, mirror, scrape, systematically extract, data-mine, or commercially exploit the Site or its content; use it to train, fine-tune, evaluate, or supply a machine-learning or generative-AI system; remove proprietary notices; or imply sponsorship, endorsement, or affiliation.

If you voluntarily provide non-confidential suggestions, comments, or feedback about the Site or ZFRNexus services, you grant ZFRNexus a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or attribution. This provision does not apply to personal information governed by the Privacy Policy or to information protected under a separate written agreement.
5.2 Electronic Communications. You consent to receive electronic communications reasonably necessary to respond to your inquiry or administer your relationship with ZFRNexus. You may withdraw from non-transactional communications as described in the applicable message or Privacy Policy.

9. Disclaimers

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZFRNEXUS AND ITS MEMBERS, MANAGERS, PERSONNEL, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR DATA; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
10.2 Aggregate Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ZFRNEXUS AND THE OTHER PERSONS IDENTIFIED ABOVE FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
10.3 Non-Waivable Rights. Some jurisdictions do not permit certain exclusions or limitations. In that event, the affected exclusion or limitation applies only to the maximum extent permitted, and the remainder remains effective.
11. Indemnification
11.1 You will defend, indemnify, and hold harmless ZFRNexus and its members, managers, personnel, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your unlawful or unauthorized use of the Site, your violation of these Terms, or content or information you submit through the Site, except to the extent caused by ZFRNexus’s gross negligence or willful misconduct.
12. Changes, Suspension, and Termination
12.1 Site Changes. ZFRNexus may modify, suspend, or discontinue any part of the Site at any time without liability.
12.2 Terms Changes. ZFRNexus may update these Terms by posting the revised version and changing the “Last Updated” date. Changes apply prospectively upon posting unless a later date is stated. Continued use after the effective date constitutes acceptance.
12.3 Termination. These Terms remain effective while you use the Site. ZFRNexus may terminate or restrict your permission to use the Site for any lawful reason. Sections that by their nature should survive will survive, including intellectual property, disclaimers, liability limits, indemnification, and dispute provisions.
13. Governing Law and Disputes
13.1 Governing Law. These Terms and any dispute arising from or relating to them or the Site are governed by New York law, without regard to conflict-of-laws principles that would apply another jurisdiction’s law.
13.2 Exclusive Forum. Subject to applicable mandatory law, each party irrevocably submits to the exclusive jurisdiction of the state courts located in Nassau County, New York, and the United States District Court for the Eastern District of New York. Each party waives objections based on venue or inconvenient forum.
13.3 Jury Trial Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR THE SITE.
13.4 Time Limit. To the maximum extent permitted by law, any claim arising from the Site must be filed within one year after the claim accrued, or it is permanently barred.
14. General Terms
14.1 Entire Agreement. These Terms, the Privacy Policy, Cookie Policy, and Website and Content Disclaimer constitute the entire agreement between you and ZFRNexus concerning the Site. A signed client agreement separately governs professional services.
14.2 Severability and Waiver. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver.
14.3 Assignment. You may not assign these Terms without ZFRNexus’s prior written consent. ZFRNexus may assign them in connection with a merger, reorganization, sale of business or assets, or by operation of law.
14.4 No Third-Party Beneficiaries. These Terms do not confer rights on any third party.
14.5 Headings. Headings are for convenience only and do not affect interpretation.
